+ Principle of rounding, handling the fractional shares and unsubscribed shares:
+ Additional shares issued to existing shareholders will be rounded down to the whole number.
+ The fractional shares that arise (if any) and shares that are not registered to be purchased by shareholders and transferees of priority purchasing rights, the Board of Directors has the right to offer for sale to other subjects with unfavorable offering conditions than the conditions offered to existing shareholders.
+ The offering to other subjects mentioned above must ensure cross-ownership regulations in Clause 2, Article 195 of the Law on Enterprises No. 59/2020/QH14 and other provisions of law.
+ The number of odd shares or shares that shareholders refuse to exercise the right to buy after being offered to other investors will be restricted from transfer within 01 year from the date of completion of the offering.
+ Shares not fully distributed after the prescribed time limit (including the distribution extension period) will be canceled and the Board of Directors will make a decision to end the issuance period.
For example: On the date of closing the shareholder list, shareholders owned 1,369 BVL shares, equivalent to 1,369 buying rights. The number of new shares purchased is calculated as follows: 1,369 : 100 x 35 = 479.15 rounded down to 479 additional shares issued.

+ Right is transferred once only. The transferee may not transfer further to a third party.

Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10h30, 08/03/2024
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
