VSD's Hochiminh Branch would like to announce the record date as follows:

- Reason and purpose: Conversion of shares of Vinpearl Joint Stock Company (VPL) into shares of Vicom Joint Stock Company (VIC)

- Conversion rate: 1:0.77 (Shareholder who owns 1 VPL share is entitled to 0.77 VIC share)

- Principle of rounding and fractional shares handling: the number of converted shares will be rounded to the unit, the arising fractional shares will be removed.

For example: Shareholder A who owns 1,234 VPL shares is entitled to 957.11 VIC shares. After rounding down to the unit, shareholder A will receive 957 VIC shares;

- Payment place:

+ The holders whose shares have been deposited will receive dividend at the depository member where they opened depository account.

+ The holders whose shares have not been deposited have to present ID card and passbook of non-deposited shares to receive converted shares at Vinpearl Joint Stock Company on working days.

Depository members (DMs) are requested to check and send confirmation on the accuracy of the list of shareholders having deposited VPL shares to VSD’s Branch Office.

Method of confirmation: Original document

As for members in far places, it is possible to send via fax first and the original document by courier later. In this case, members must register fax number with VSD's Branch in writing; and the fax number and time should be available on the faxed confirmation document.

Deadline for sending confirmation: by 30 December 2011

If members do not send confirmation document by the above deadline, VSD will consider the list provided to DMs by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.

DMs are requested to fully inform this notice to each investor who has deposited VPL shares at DMs within 3 working days from the date on the notice.
