+ Principle of rounding: For fractional shares (if any) arising when exercising the right, in order to ensure that the number of issued shares does not exceed the number of offered shares, the number of additionally offered shares for existing shareholders to be purchased will be rounded down to the unit.
+ Principle of handling fractional (if any) and unsubscribed shares:
* The handling of arising sharesdue to the fact that  shareholders do not exercise their rights or do not make payment shall comply with Article 42 of Decree No. 155/2020/ND-CP dated 31st December 2020 and regulations on capital contribution to the parent company, subsidiary according to Clause 2, Article 195 of 2020 Enterprise Law.
* The number of shares that are not fully distributed because existing shareholders refuse the right to buy and the number of fractional shares arising (if any) after distributing to existing shareholders will be authorized by the General Meeting of Shareholders to the Board of Directors to  distribute to other parties selected by the Board of Directors with the selling price of 10,000 VND/share.  These shares will be restricted from transferring within one year from the closing date of offering. In case of expiration of distribution of shares as prescribed by prevailing laws (including the extended period, if any), there are still undistributed shares, such undistributed shares will be removed, and  then the Board of Directors shall close the offering. The Board of Directors considers selecting and adjusting the capital usage plan to ensure that it does not affect the Company's capital resource as well as business activities.

* Example: On the record date, Shareholder A who owns 1207 shares that equals 1207 rights. According to the ratio of 1000:439, A is entitled to buy 529.8 shares (1207: 1000 x 439 = 529.8). According to the principle of rounding, shareholder A will be entitled to buy 529 new shares.

Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 8th April 2022
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
