- Planned quantity of issued shares: 3,115,000 shares
- Issue price: VND 10,000/share
- Execution rate: 777:623 (shareholders are entitled to 1 right for each share that they own and to buy 623 new shares for 777 rights).
- Principle of rounding, handling fractional shares: the fractional shares (if any) will be rounded down to the whole number
Example: shareholder A who owns 1,100 shares is entitled to buy 1,100 x 623/777 = 881.9 shares. According to the above principle of handling fractional shares, shareholder A is entitled to buy 881 new shares. The 0.9 fractional shares will be rounded to 0.
- Principle of handling undistributed shares:
+ The remaining undistributed shares include:
· The number of remaining shares due to existing shareholders not registering or paying to buy part or all of the shares in the offering;
· The number of fractional shares arising from rounding down when calculating the shares purchased by existing shareholders to ensure that the total number of shares distributed does not exceed the total number expected to be offered;
· The number of shares with a difference arising between the total number of shares requested for issuance (3,115,000 shares) and the total number of shares actually issued according to the right execution rate.
+ Principle of handling undistributed shares:
· Continue to offer to other investors with offering conditions that are not more favorable than the conditions for offering to existing shareholders (including the offering price not lower than the selling price for existing shareholders) to ensure the issuance of all offered shares;
· The remaining shares that have not been fully distributed to existing shareholders when offered to other entities under this plan will be restricted from transfer for a period of 1 year from the date of completion of the offering period according to the prevailing laws
· The handling of the remaining shares that have not been fully distributed has to comply with the provisions of Article 42 of Decree 155/2020/ND-CP dated 31/12/2020 and ensure other conditions as prescribed in Clause 2, Article 195 of 2020 Enterprise Law and other relevant provisions of prevailing laws;
· In case the deadline for distributing shares expires according to the provisions of prevailing laws (including the extended period (if any)), if there are still undistributed shares, these shares will be cancelled and the Board of Directors will decide to end the issuance.
- Regulations on rights transfer: 
+ Time period for right transfer: from 11/02/2025 to 25/02/2025
+ Right is transferred once and is not transferred to the 3rd party
+ Existing shareholders who are domestic investors are not allowed to transfer rights to other foreign investors, are only allowed to transfer purchase rights to domestic investors.
- Regulations on subscription:
+ Time period for subscription and payment: from 11/02/2025 to 03/03/2025
+ Shares are freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository members (DMs) where they opened depository accounts.
+ The holders whose shares have not been deposited will make transfer of purchase right, subscription and payment at Vimarko Joint Stock Company, Level 2, No.10-NV27, Bac Quoc Lo 32 new urban area, Tram Troi town, Hoai Duc district, Hanoi on working days from 11/02/2025. ID cards/passports/Certificate of business registration, Certificate of share ownership and make subscription payment.

Schedule for DMs to process right issue with VSDC is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, DMs are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 06/02/2025.
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs by VSDC tobe accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 03 working days from the date on the notice.
