Viet Nam Securities Depository and Clearing Corporation (VSDC) would like to announce the record date as follows:

- Planned quantity of issued shares: 14,850,000 shares
- Issue price: VND 10,000/share
- Execution rate: 20:1 (shareholders are entitled to 1 right for each share that they own and to buy 1 new shares for every 20 rights).
- Principle of rounding, handling fractional shares and unsubscribed shares (if any):
Principle of rounding: The number of shares purchased by shareholders will be rounded down to the whole number. The decimal fraction will be aggregated and processed according to the plan for handling fractional shares and remaining unsubscribed shares.
For example: On the record date, shareholder Nguyen Van A owns 108 shares. The number of shares that shareholder Nguyen Van A is entitled to buy according to the offering plan is (108/20) x 1=5.4 shares. After rounding down to the whole number, the number of shares that shareholder Nguyen Van A is registered to buy is 5 shares and 0.4 shares will be collected and processed according to the plan for handling fractional shares and remaining unsubscribed shares.
+ Principle for handling fractional shares, principle for handling unsubscribed shares (shares to be distributed):
The Board of Directors (BOD) will continue to offer the  fractional sharesand the remaining unsubscribed shares to other investors (including existing shareholders, company insiders shareholders and other investors) who have the need and financial capacity to purchase the above shares at a price not lower than the offering price to existing shareholders. The BOD will establish criteria and select investors who have the need to purchase the shares to be distributed.
The number of shares to be distributed and offered to other investors according to the decision of the BoD will be restricted from transfer within 01 year from the end date of the offering, unless otherwise provided by law. The distribution of shares have to meet the following conditions:
Comply with the provisions of Article 195 of the 2020 Enterprise Law: “Subsidiaries are not allowed to invest in buying shares or contributing capital to the parent company. Subsidiaries of the same parent company are not allowed to simultaneously contribute capital or buy shares to cross-own each other”.
Comply with the provisions of Article 42 of Decree No. 155/2020/ND-CP issued by the Government on 31/12/2020 detailing the implementation of a number of articles of the Securities Law.
In case there are still undistributed shares after the distribution is made according to the above principles, the undistributed shares will be canceled and the BOD will decide to end the offering.
- Regulations on rights transfer:
+ Time for transfer of right issue: From 06/01/2025 to 20/01/2025.
+ Purchase rights can be transferred once (the transferee cannot transfer it to a third party).
- Regulations on purchased securities:
+ Time for subscription and payment: From 06/01/2025 to 12/02/2025.
+ Purchased securities are freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository members (DMs) where they opened depository accounts.
+ The holders whose shares have not been deposited will make right transfer, subscription at Taseco Land Investment Joint Stock Company's head office (address: 1st Floor, Building NO2-T1, Diplomatic Corps Area, Xuan Tao Street, Xuan Tao Ward, Bac Tu Liem District, Hanoi City, Vietnam) and deposits the money to purchase shares into the blockade account.

Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, DMs are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 27/12/2024
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs by VSDC tobe accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 03 working days from the date on the notice.
