- Conversion rate: 1: 0.85565 (shareholder owning 1 share of Sai Gon Railway Transport Joint Stock Company is entitled to receive 0.85565 share of the merging company, Railway Transport Joint Stock Company)
- Principle of rounding, handling fractional shares: the number of converted shares will be rounded down to the whole number
Example: On the record date, shareholder Nguyen Van B who owns 123 SRT shares will be entitled to 123 rights and those rights equal to conversion of 123 x 0.85565 = 105.24495 shares. According to the above principle, shareholder B will receive 105 shares.
Principle of handling fractional shares: all fractional shares due to principle of conversion rate will be transferred to state shareholder, Vietnam Railways for owning and managing. These shares are subject to transfer restriction within 1 year from the date of issuance completion (the record date for conversion)

+ Date of delisting on the Stock Exchange: 31/10/2024
+ Last trading date on the Stock Exchange: 30/10/2024
+ From 31/10/2024, shares of Sai Gon Railway Transport Joint Stock Company (securities code: SRT) are not allowed to be traded and transferred in the market.
- Implementation place:
+ The holders whose shares have been deposited will implement conversion procedures at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will implement conversion procedures at Railway Transport Joint Stock Company, no. 130 Le Duan, Nguyen Du ward, Hai Ba Trung district, Hanoi. ID cards have to be presented.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 05/11/2024.
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs and direct account holding members by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
