Viet Nam Securities Depository and Clearing Corporation (VSDC) would like to announce the record date as follows:

- Conversion rate:
+ For common share: 1:1 (shareholder owning 1 share of Vinacomin - Deo Nai Coal Joint Stock Company is entitled to receive 1 share of the merged company, Deo Nai - Coc Sau - TKV Joint Stock Company)
+ For preferred shares: not applicable
- Principle of rounding, handling fractional shares: not applicable
Example: On the record date, shareholder A who owns 123 DPD shares will be entitled to 123 rights and those rights equal to conversion of 123x1 = 123 shares
- For shares listing on the Stock Exchange:
+ Date of delisting on the Stock Exchange: 25/06/2024
+ Last trading date on the Stock Exchange: 24/06/2024
+ From 25/06/2024, TDN shares are not subject to corporate entitlements (except ownership transfer due to settlement of transaction on the last trading date on the Stock Exchange) trading and transfer in the market.
From 26/06/2024, VSDC will not accept securities deposit.
- Implementation place:
+ The holders whose shares have been deposited will implement conversion procedures at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will implement conversion procedures at Vinacomin - Deo Nai Coal Joint Stock Company, no.42, Kim Dong street, Cam TAy ward, Quang Ninh province. ID cards have to be presented.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 28/06/2024.
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs and direct account holding members by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
