- Execution rate: 100:210 (Shareholders are entitled to 1 right for every 1 share they own, to buy 210 new shares for 100 rights)
+ Principle of rounding, handling the fractional shares and unsubscribed shares (if any):
+ Additional shares issued to existing shareholders will be rounded down to the whole number. The fractional shares due to rounding down will be added to the unsubscribed shares.
For example: On the record date, shareholder A who owns 1,115 shares, is entitled to purchase (1,115 x 210)/100 = 2,341.5 shares. According to the above principle, shareholder A is entitled to buy 2,341 shares.
+ Principle of handling unsubscribed shares, including: (1) the number of shares that shareholders do not exercise their right; (2) the fractional shares due to rounding down; (3) the difference in the number of shares arising between the total number of shares to be offered (6,468,000 shares) and the total number of shares actually issued with the right exercise rate (if any): the Board of Directors has the right to distribute the unsubscribed shares to YTECO shareholders or others in a reasonable manner with conditions no more favorable than those offered to existing shareholders and these shares will be subject to transfer restriction within 01 (one) year from the date of completion of the offering, unless these shares are purchased by the underwriter as committed in the underwriting contract. The distribution of unoffered shares must ensure compliance with the provisions of Article 42 of Decree 155/2020/ND-CP dated 31/12/2020 by the Government and Article 195 of the Law on Enterprises.
The Board of Directors decides to select a list of investors and decide  the number of undistributed shares to be allocated to each investor based on the following specific criteria:
* YTECO staff member.
* Or other organizations or individuals with financial capacity (not limited to YTECO shareholders).
In case after the Board of Directors processes as above, there are still undistributed shares, the underwriter will purchase all remaining shares at a price of 20,000 VND/share.
- Regulations on rights transfer:
+ Time period for right transfer: from 24/04/2024 to 15/05/2024.
+ Right is transferred once only. The transferee is not allowed to transfer to a third party.
- Regulations on subscription:
+ Time period for subscription and payment: from 24/04/2024 to 31/05/2024.
+ Subscribed shares are freely transferable.
- Payment place:
+ The holders whose shares have been deposited will make right transfer, subscription and payment at at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at:

*Address for receiving mail/transaction: 76 Suong Nguyet Anh, Ben Thanh ward, district 1, Hochiminh city

Schedule for DMs to process right issue with VSDC is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10:30, 19/04/2024
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
