Example: shareholder A who owns 50 shares on the record date is entitled to buy 12.5 shares. According to above principle, he/she is entitled to buy 12 shares.
+ Principle of handling unsubscribed shares (if any):
*In case the shares are not fully distributed as expected because the existing shareholders do not exercise rights (if any), they will be handled as follows:
+ The Board of Directors (BOD) shall decide to sell these shares to other parties at the selling price, rights and obligations not more favorable than that offered to existing shareholders, the price and specific conditions will be decided by the BOD. The selection of parties and distribution of these shares must comply with the provisions of Article 42 of Decree 155/2020/ND-CP dated 31st December 2020 by the Government detailing a number of articles of the Law on Securities and ensure the foreign ownership not more than 49%;
+Shares offered to other parties are subject to transfer restriction within 1 year from the date of issuance completion.
*In case of expiration of share distribution as prescribed by prevailing law (including extension if any), if there are still undistributed shares, these shares shall be canceled and the BOD decides to close the offering. The charter capital will be adjusted in accordance with successfuly offered shares.
- Regulations on rights transfer:

+ Time period for right transfer: from 06/12/2023 to 20/12/2023.
+ Rights are transferred once only. Shareholders can transfer their rights to one or several other individuals/institutions within the prescribed time, the transferee is not allowed to transfer rights to a third party.
- Regulations on subscribed shares:
+ Time period for subscription and payment: from 06/12/2023 to 26/12/2023.
+ Subscribed shares are freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment to blockade account for subscription at Deo Ca Trafic Infrastructure Investment Joint Stock Company, Km 11+500 road leading to the south of Hai Van tunnel, Hoa Hiep Bac ward, Lien Chieu district, Da Nang city, tel 0236 3730574; Fax: 0236 3842713; Email: info@hhv.com.vn) and make subscription payment to the blockade account. Schedule for DMs to process right issue with VSD branch is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 AM, 01/12/2023
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs and direct account holding members by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
