- Planned quantity of issued shares: 27,599,896 shares
- Issue price: 10,000 VND
- Execution rate: 1:1 (shareholders are entitled to 1 right for each share that they own and to buy 1 new share for each right).
- Principle of rounding, handling fractional shares, unsubscribed shares:
+ Principle of rounding, handling fractional shares: due to execution rate of 1:1, there is no fractional share.
+ Principle of handling unsubscribed shares (if any):
The remaining shares (if any) will be authorized by the General Meeting to the Board of Directors (BOD) to decide parties, number of distributed shares to bring the highest benefits to the Company. The offering price is not lower than 10,000 VND/share.
Handling of the remaining shares complies with provisions of Article 42 Decree no.155/2020/NĐ-CP dated 31st December 2020 and other conditions as stipulated by prevailing laws.
In case the parties selected by the BOD to continue share distribution is subject to a tender offer, such party is responsible for carrying out procedures for tender offer in accordance with prevailing law.
The above shares are subject to transfer restriction within minimum 1 year from the date of offering completion.
- Regulations on rights transfer:
+ Time period for right transfer: from 1st August 2023 to 25th August 2023.
+ Purchase right can be transferred once only.
+ The issued shares are not subject to transfer restriction. Shareholders subject to transfer restriction are entitled to buy shares. Shares entitled to buy are not subject to transfer restrictions.
- Regulations on subscribed shares:
+ Time period for subscription and payment: from 1st August to 31st August 2023
+ Subscribed shares are common shares and freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at Viet Nam Gas and Chemicals Transportation Corporation, Service Area 4, level 6, R2 Tower, The Everrich, no.968 road 3/2, ward 15, district 11, Hochiminh city

Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10:30 pm, 27th July 2023.
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
