- Principle of rounding, handling the fractional and unscribedshares (if any): 
+ The number of shares offered will be rounded down to the whole number.
+The plan to handle fractional shares, shares that are not fully subscribed (if any): In case the shareholder and/or the transferee of the right to buy the right to buy, do not buy and/or do not buy all the offered shares. or fail to make payment in a timely manner by the Board of Directors  (BOD) of Bac A Commercial Joint Stock Bank and the fractional number of shares arising due to the principle of rounding down (undistributed shares), The BOD has the right to offer these undistributed shares to other shareholders or to new investors selected by the BOD to ensure compliance with current laws on conditions, procedures and limits on share ownership in the Bank, ensuring that offering conditions, rights and obligations of investors are not more favorable than those offered to existing shareholders. The offering price to other shareholders or new investors is not lower than the price offered to existing shareholders (15,000 VND/share).
+ In case of issuance to other shareholders or other investors but still failing to fully distribute the shares expected to be issued, the charter capital will be increased according to the number of actually issued shares.
+ Example: On the record date, shareholder Nguyen Van A who owns 105 shares is entitled to buy 15.75 shares (105x15% = 15.75 shares). Therefore, shareholder A is entitled to buy 15 shares. The 0.75 fractional shares will be rounded down to the whole number which is decided by the BOD.
- Regulations on rights transfer:
+ Time period for right transfer: from 22nd February 2023 to 7th March 2023
+ Purchase right can be transferred once only.
- Regulations on subscription:
+ Time period for subscription and payment: from 22nd February 2023 to 14th March 2023
+ Subscribed shares are freely transferable.
+ Fractional shares and those shares that are not bought by shareholders/ transferees and offered to other shareholders/other investors shall be subject to one year transfer restriction.
- Payment place:
+ The holders whose shares have been deposited will receive dividend at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at Office of the Board of Directors of Bac A Bank - 6th Floor, Opera Business Center Building, No. 60 Ly Thai To, Trang Tien Ward, Hoan Kiem District, Hanoi City on working days. ID cards/passports have to be presented.

Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10h30, 16th February 2023
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
