- Issue price: 10,000 VND/share

+ Right allocation: 1:1 (1 share - 1 right)
+ Right execution: 3:1 (to buy 1 new share for every 3 rights)
- Principle of rounding, handling the fractional shares and unsubscribed shares (if any):
+ The principle of rounding, handling fractional shares: the number of additionally issued shares offered to existing shareholders will be rounded down to the unit, the decimal fractional shares (if any) will be removed.
Example: Shareholder A owns 101 shares at the record date of the list of shareholders, shareholder A will be entitled to buy 33.66 shares (101/3 = 33.66). According to the principle of rounding, shareholder A will be entitled to buy 33 new shares, the 0.66 fractional shares will be removed.
+ Principle of handling unsubscribed shares:
The shares due to existing shareholders do not subscribe nor paid for a part or whole right issue will be offered by the Board of Directors to other investors with following conditions:
Offered price: 10,000 VND/share
Being domestic investors who are interested in buying TSC shares
Complying with the provisions of Article 95 of the Enterprise Law 2020: “Subsidiaries are not allowed to purchase shares or contribute capital to the parent company. Subsidiaries of the same parent company do not concurrently contribute capital or purchase shares to cross-own each other".
Complying with the provisions of Article 42 of Decree 155/2020/ND-CP of the Government issued on 31st December 2020 detailing the implementation of a number of articles of the Securities Law.
Those shares will be restricted from being transferred within 1 year from the date of offering completion.
- Regulations on rights transfer: 
+ Time period for right transfer: from 8th April 2022 to 25th April 2022
+ Shareholders can transfer rights to to other people but not foreign investors.
+ Rights are transfered once only. Transferee is not allowed to transfer to the 3rd party.
- Regulations on subscription:
+ Time period for subscription and payment: from 8th April 2022 to 29th April 2022
+ Subscribed shares are common shares and are freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at TECHNO - AGRICULTURAL SUPPLYING JOINT STOCK COMPANY, no.1D, Pham Ngu Lao, Thoi Binh ward, Ninh Kieu district, Can Tho city and make subscription payment to the blockade account.

Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 AM, 31st March 2022
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs and direct account holding members by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
