The number of shares additionally issued is rounded (down) to the unit. The decimal fractional shares (if any) will be removed. The number of shares that are not fully sold because the existing shareholders refuse to buy a part or the whole will be authorized by the General Meeting to the Board of Directors to distribute to other parties with conditions on the rights and obligations of investors no more favorable than those offered to existing shareholders (including the offering price not lower than that offered to existing shareholders) and those shares are subject to transfer restriction within 1 year from the date of completion of offering.
Example: On the record date, shareholder A who owns 12,345 shares is entitled to buy 6,172.5 shares ((12,345*1)/2=6,172.5). According to the principle of rounding and handling fractional shares, shareholder A will be entitled to buy 6,172 new shares, the 0.5 will be removed.
- Regulations on rights transfer:
+ Time period for right transfer: from 27th January 2022 to 21st February 2022
+ Shareholder is entitled to transfer once, the transferee cannot transfer the right to a third party.
+ During the process of right transfer, foreign investors are not allowed to receive right transfer from domestic investors.
+ Fractional shares and unsubscribed shares will be distributed only to domestic shareholders.
- Regulations on subscription:
+ Time period for subscription and payment: from 27th January 2022 to 28th February 2022
+ Subscribed shares are freely transferable
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at Ha Noi South Housing and Urban Development Corporation, Cau Giat industrial cluster, Chuyen Ngoai commune, Duy Tien town, Ha Nam.

Schedule for DMs to process right issue with VSD branch is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 AM, 25th January 2022
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs and direct account holding members by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
