1. Payment of 2020 Stock Dividend
- Payment rate: 10:2 (shareholders are entitled to 2 new shares for every 10 shares they own)
- The number of shares to be issued: 1,600,000 shares
- Principle of rounding and handling fractional shares: The number of shares to shareholders will be rounded down to the unit, the decimal fractional shares  (if any) will be removed.
- For example: on the record date, shareholder A who owns 187 shares is entitled to receive 34.40 shares (187:10*2 = 34.40). According to the principle of rounding, this shareholder will only receive 34 shares and the 0.40 fractional shares will be removed.
- Payment place:
+ The holders whose shares have been deposited will receive dividend at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will receive cash dividend at Bao Ngoc Investment Production Corporation. ID cards have to be presented.
2. Issuance of Shares for Raising Share Capital from Owners' Equity
- Payment rate: 10:3 (shareholders are entitled to 3 new shares for every 10 shares they own)
- Principle of rounding, handling fractional shares: the number of share allocated to existing shareholders will be rounded down to the unit, the decimal fractional shares (if any) will be removed.
- For example: on the record date, shareholder A who owns 187 shares is entitled to receive 56.10 shares (187:10*3 = 56.10). According to the principle of rounding, this shareholder will only receive 56 shares and the 0.10 fractional shares will be removed.
- Payment place:
+ The holders whose shares have been deposited will receive shares at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will receive shares at Bao Ngoc Investment Production Corporation. ID cards have to be presented.
3. Right issue

+ Planned quantity of issued shares: 8,000,000 shares

+ Execution rate: 1:1 (shareholders are entitled to 1 right for each share that they own and to buy 1 new share for each right).
- Principle of rounding, handling fractional shares and unsubscribed shares (if any):
+ Principle of rounding: to ensure the number of shares not exceeding the offered shares, the number of shares offered to existing shareholders will be rounded to the unit.
+ Principle of handling fractional shares and unsubscribed shares (undistributed shares):
The number of fractional shares arising due to rounding (if any) and the number of shares not subscribed by existing shareholders (if any) will be authorized to the Board of Directors to distribute to other parties (including shareholders in the Company wishing to increase their share ownership) decided by the BOD at the price not lower than that offered to existing shareholders.
In case the percentage of ownership of shareholders redistributed by the Board of Directors of fractional shares or shares refused to buy in excess of 25% of the total number of voting shares, the tender offer procedure is not required.
The remaining shares that have not been fully distributed to existing shareholders when offered for sale to other parties under this plan will be restricted from transfer within one year or another time as prescribed by law, from the date of offering completion.
Example: On the record date, shareholder A who owns 107 shares is entitled to buy 107 shares (107:1*1 = 107).
- Regulations on rights transfer:
+ Time period for right transfer: from 15th October 2021 to 1st November 2021
+ Right can be transferred once only.
+ Domestic investors are not allowed to transfer the right to foreign investors, foreign investors can only transfer the right to domestic investors (due to the current room rate of 0% as prescribed).
- Regulations on subscription:
+ Time period for subscription and payment: from 15th October 2021 to 5th November 2021
+ Subscribed shares are freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at Bao Ngoc Investment Production Corporation and make payment to blockade account. ID cards have to be presented.

Schedule for DMs to process right issue with VSD is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 AM, 12th October 2021
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs and direct account holding members by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
