- Principle of rounding, handling the fractional shares and unsubscribed shares (if any):
+ Rounding principle: For any fractional shares (if any) arising from a shareholder exercising their rights, to ensure that the number of shares issued does not exceed the number of shares offered, the number of shares a shareholder is entitled to purchase will be rounded down to the whole number.
+ Method for handling remaining undistributed shares: The remaining undistributed shares include (i) shares remaining due to existing shareholders refusing to purchase partially or all during the offering, (ii) fractional shares arising from rounding down when calculating the shares purchased by existing shareholders according to the exercise ratio, and (iii) the difference between the total number of shares registered for offering (11,110,000 shares) and the total number of shares actually offered according to the exercise ratio. The General Meeting authorizes the Board of Directors to proactively decide to offer the remaining shares to other investors at an offering price of VND 43,500/share, equal to the offering price to existing shareholders;
+ The General Meeting authorizes the Board of Directors to have full authority to decide on the handling and distribution of the remaining undistributed shares mentioned above to investors who have the need and financial capacity;
+ Any remaining shares not fully distributed during the offering to investors as decided by the Board of Directors will be subject to one-year transfer restriction from the date the offering ends;
The distribution of unsold shares to other investors has to be in line with the conditions under the 2020 Enterprise Law, the 2019 Securities Law, Decree No. 155/2020/ND-CP, Decree No. 245/2025/ND-CP and other relevant legal regulations, including but not limited to the following conditions:
• Compliance with the provisions of Clause 2, Article 195 of the 2020 Enterprise Law: “Subsidiary companies are not allowed to invest in purchasing shares or contributing capital to the parent company. Subsidiary companies of the same parent company are not allowed to simultaneously contribute capital or purchase shares to create cross-ownership among themselves.”
• Ensuring compliance with the offering conditions stipulated in Article 42 of Decree No. 155/2020/ND-CP issued by the Government on December 31, 2020, detailing the implementation of certain articles of the Securities Law.
+ in the event of expiration of the share distribution period as prescribed by law (including any extensions), if there are still undistributed shares, these undistributed shares will be cancelled, and the Board of Directors will decide to terminate the offering.
- Example: On the record date, shareholder Nguyen Van A owns 115 shares. The number of shares shareholder A is entitled to purchase under the offering plan is 115/10*1 = 11.5 shares. After rounding down to the whole number, the number of shares shareholder A is entitled to purchase is 11 shares, and the 0.5 fractional share will be aggregated and processed according to the plan for handling fractional shares and unsold shares.
- Regulations on rights transfer:
+ Time period for right transfer: from 23/7/2026 to 10/8/2026.
+ The right to purchase shares can be transferred only once. The right to purchase shares will expire on the payment due date. The right to purchase shares may be further divided and transferred to multiple different investors according to an agreement between the two parties. The transferor and the transferee shall mutually agree on the transfer price and payment method.
- Regulations on subscribed shares:
+ Time period for subscription and payment: from 23/7/2026  to 12/8/2026.
+ The subscribed shares are freely transferred.
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at Headquarters of Thu Dau Mot Water Joint Stock Company - 11B Ngo Van Tri Street, Phu Loi Ward, Ho Chi Minh City, Vietnam
