- Shareholders whose names are on the final list on the record date of 17/12/2024 are entitled to nominate candidates to the Supervisory Board (SB) for the 7th term (2020-2025) in accordance with Article 26 of Eximbank's Charter as follows:
+ Record date for exercising the right to nominate planned personnel to the SB for the 7th term (2020-2025): 17/12/2024.
+ Number of BOD members to be elected to the BOD for the 7th term (2020-2025): 3 SB members
+ Time of sending notification to shareholders of nominating candidates to the SB for the 7th term (2020-2025): by 20/12/2024.
+ Time and venue of receiving application of shareholders/group of shareholders nominating candidates to the BOD for the 7th term (2020-2025):
Venue: BOD's office, level 8, Vincom Center building, no.72 Le Thanh Ton, district 1, Hochiminh city
Time of receiving nomination application: from 8:30 a.m to 5 p.m on 02/01/2025.
- Nomination application sent to Eximbank after 5 p.m. on 02/01/2025 are considered invalid and will not be reviewed (except for additional documents as requested by the State Bank of Vietnam (SBV) or the Personnel Record Reviewing Subcommittee, or the Board of Directors of Eximbank).
+ Time of receiving application is based on the actual time when Eximbank receives the application directly or from the Post Office.
+ Expected time for checking and reviewing the nomination application: 03/01/2025.
+ Expected time for Eximbank to submit documents to SBV for consideration and approval of the proposed list of additional personnel to Eximbank's Board of Supervisors for term VII (2020-2025) to conduct elections at the General Meeting: 06/01/2025
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 19/12/2024.
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs and direct account holding members by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
