+ Principle of rounding, handling the fractional shares and unsubscribed shares (if any):
+ Principal of rounding, handling the fractional shares: the number of shares additionally offered to existing sharedholders will be rounded down to the whole number. The fractional shares (if any) will be removed.
+ Principal of handling unsubscribed shares:
.The Board of Directors (BOD) will distribute unsubscribed shares to shareholders or other investors with conditions no more favorable than that offered to existing shareholders. Those shares are subject to transfer restriction within 1 year from the date of offering completion. The distribution of unsubscribed shares has to comply with provisions of Article 42, Decree no.155/2020/NĐ-CP dated 31/12/2020 by the Government and Article 195 of Enterprise Law no.59/2020/QH14.
.In addition, the BOD may decide to close the issuance and report the result without offering the above unsubscribed shares.
For example: On the record date, shareholders owned 1,100 shares, will be entitled to buy (1,100 x 148):1,000 = 162.8 shares. According to above principle, shareholder A is entitled to buy 162 shares, 0.8 fractional shares will be removed.
- Regulations on rights transfer:
+ Time period for right transfer: from 10/05/2024 to 31/05/2024.
+ Right owner can transfer right to one or many people as agreed. Right is transferred once only.
- Regulations on subscription:
+ Time period for subscription and payment: from 10/05/2024 to 05/06/2024
+ Subscribed shares are freely transferred

+ The holders whose shares have been deposited will make right transfer, subscription and payment at at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at Ba Ria - Vung Tau House Development Joint Stock Company, Administration-Human Resources department, level 3, Hodeco Plaza building, no.36 Nguyen Thai Hoc, ward 7, Vung Tau city, Ba Ria - Vung Tau province and make subscription payment to the blockade account

Schedule for DMs to process right issue with VSDC is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSDC with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSDC’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSDC's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10h30, 06/05/2024
If DMs do not send confirmation document by the above deadline, VSDC will consider the list provided to DMs by VSDC accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
