- Meeting agenda: approve the following issues:
Part 1:
+ Approval of report by the Board of Directors (BOD) on 2022 activity results, 2023 plan
+ Approval of report by the Management Board on 2022 business results and 2023 plan
+ Approval of report by the Supervisory Board (SB) on 2022 activities, 2022 financial statements appraisal and 2023 plan
+ Approval of Report by the Independent BOD Member
+ Approval of 2023 business criteria and dividend
+ Approval of 2022 audited financial statements
+ Approval of selecting an auditing company for 2023
+ Approval of 2022 remuneration payment for the BOD, SB and 2023 plan
+ Approval of 2023 profit distribution
+ Approval of share issuance for 2022 dividend payment
+ Approval of the revised Charter
+ Approval of continued implementation of the share issuance plan according to the document No. 07/TTr-CTF/HĐQT 2022 approved by the 2022 General Meeting of Shareholders on April 29, 2022;
+ Approval of the dismissal and election of additional SB members;
+ Approval of proposals for other issues within the authority of the General Meeting.
Part 2:
- Assigning the Chairman of the BOD, the CEO to prepare related documents and procedures.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 8th May 2023
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs and direct account holding members by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
