Vietnam Securities Depository (VSD) would like to announce the record date as follows:

(Effective date of code allocation: 7th April 2022; effective date of code cancellation: 10th May 2022)   
- Planned quantity of issued shares: 4,000,000 shares
- Issue price: 10,000 VND/share
- Execution rate: 2:1 (Shareholders are entitled to 1 right for each share that they own and to buy 1 new share for every 2 rights)
- Principle of rounding, handling the fractional shares and unsubscribed shares (if any):
+ Principle of rounding, handling the fractional shares: the shares issued for existing shareholders will be rounded down to the unit. The fractional shares (if any) will be removed.
+ Principle of handling unsubscribed shares:
If existing shareholders do not subscribe to buy all issued shares, the General meeting authorizes the BOD to offer to other domestic investors with price not lower than that offered to existing shareholders and in compliance with prevailing laws. These shares are subject to transfer restriction within 1 year from the date of offering completion.
The handling of shares that are not fully issued must comply with the provisions of Article 42, Decree No. 155/2020/ND-CP dated 31st December 2020 and other relevant laws.
In case of expiry of share distribution as prescribed by prevailing laws (including extended period (if any)), if there are still undistributed shares, these shares will be removed and the BOD will make a decision to close the issuance.
Example: Shareholder A owns 101 shares at the record date of the list of shareholders, shareholder A will be entitled to buy 50.5 shares (101*1/2=50.5). According to the principle of rounding, shareholder A will be entitled to buy 50 new shares, the 0.5 fractional shares will be removed.
- Regulations on rights transfer: 
+ Time period for right transfer: from 7th April 2022 to 27th April 2022
+ Rights are transfered once only to domestic investors, transferee is not allowed to transfer to the 3rd party
- Regulations on subscription:
+ Time period for subscription and payment: from 7th April  2022 to 5th May 2022
+ Subscribed shares are common shares and are freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at Lap Phuong Thanh Production And Trading Joint Stock Company, no.822, Le Thanh Nghi avenue, Hai Tan ward, Hai Duong city, Hai Duong province on working days and make subscription payment to the blockade account. ID cards/passports have to be presented.

Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 AM, 4th April 2022
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs and direct account holding members by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
