Vietnam Securities Depository (VSD) would like to announce the record date as follows:

a. Right issue:
- Right code: MIREVG221
- ISIN code: VNMIREVG2210
(Effective date of code allocation: 26th January 2022; effective date of code cancellation: 24th February 2022)   
- Planned quantity of issued shares: 105,000,000 shares
- Issue price: 10,000 VND/share
- Execution rate: 1:1 (shareholders are entitled to 1 right for each share that they own)
- Principle of rounding, handling fractional and unscribed shares (if any): 
+ Principle of rounding, handling fractional shares: there is no fractional share
+ Principle of handling unsubscribed shares: for unsubscribed shares, the Board of Directors will be authorized to distribute these shares to other parties at the price of 10,000 VND/share (the same price offered to existing shareholders) to ensure full distribution of shares. the above shares shall be subject  to transfer restriction within 1 year from the date of offering completion. 
Example: Shareholder A owns 12,345 shares at the record date of the list of shareholders exercising the right to buy additional shares. With the execution rate is 1:1, shareholder A has 12,345 rights to buy and can buy 12,345  shares (12,345 x 1)/1 = 12,345). There will be no fractional shares. Therefore, shareholders owning 12,345 shares will be entitled to buy 12,345 new shares.
- Regulations on rights transfer:
+ Time period for right transfer: from 26th January 2022 to 11th February 2022
+ Right can be transferred once only (transferee is not allowed to transfer to the 3rd party)
- Regulations on subscription:
+ Time period for subscription and payment: from 26th January 2022 to 21st February 2022.
+ Subscribed shares: freely transferable shares
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at the head office of Everland Group Joint Stock Company.

 b. Payment of 2020 stock dividend
- Execution rate: 20:1 (shareholders are entitled to receive 1 share for every 20 shares they own)
- Principle of rounding and fractional shares handling:
+ Principle of rounding: For fractional shares (if any) arising when shareholders exercise their rights, in order to ensure that the number of shares issued does not exceed the number of shares expected to be issued, the number of shares received by shareholders will be rounded down to the unit.
+ Principle of fractional shares: The fractional number of shares arising due to rounding when distributed to existing shareholders will be cancelled.
For example: Shareholder A owns 12,345 shares at the record date of the list of shareholders to reveive stock dividend. With the execution rate is 20:1, shareholder A has 12,345 rights to buy and can buy 617.25 shares (12,345 x 1)/20 = 617.25). After rounding down, the actual number of shares received by shareholder A is 617 shares. The number of fractional shares arising is 0.25 shares will be removed.
- Payment place:
+ The holders whose shares have been deposited will receive dividend at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will receive cash dividend  at Everland Group Joint Stock Company. ID cards and passbooks have to be presented.
Schedule for Depository members (DMs) to carry out the right issue and payment of stock dividend with VSD is according to the file attached.
DMs are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 am, 20th January 2022
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs and direct account holding members by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
