Vietnam Securities Depository (VSD) would like to announce the record date as follows:

1. Payment of 2020 Stock Dividend

- Payment rate: 100:15 (Shareholders are entitled to 15 new shares for every 100 shares they own); 
- Principle of rounding and handling fractional shares (if any): The number of shares received will be rounded down to the unit, the fractional shares will be removed.
- For example: on the record date, shareholder A who owns 82 shares is entitled to receive 12.30 new shares (82 : 100 x 15 = 12.30).  According to the principle of rounding, this shareholder will only receive 12 shares and the 0.30 fractional shares will be removed.
- Payment place:
+ The holders whose shares have been deposited will receive dividend at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will receive dividend at the office of TDT Investment and Development Join Stock Company, Thuan Phap hamlet, Diem Thuy commune, Phu Binh district, Thai Nguyen province. ID cards have to be presented.
2. Right issue

(Effective date of code allocation: 17th November 2021; effective date of code cancellation: 14th December 2021)   
- Planned quantity of issued shares:  4,648,714 shares
- Issue price: 10,000 VND/share
- Execution rate: 03:01 (shareholders are entitled to 3 rights for 3 shares that they own and to buy 1 new share for every 3 rights).     
- Principle of rounding, handling the fractional shares, unsubscribed shares
+ The number of shares that shareholders entitled to buy will be rounded down to the unit
+ The decimal fractional shares will be distributed by the BOD to other parties
+ Handling shares that shareholders do not exercise the right, nor make subscription payment, nor buy all; and fractional shares: The remaining shares due to existing shareholders not exercising the right, nor make subscription payment, nor buy all; fractional shares will be redistributed by the Board of Directors to other existing shareholders who wish to buy more and other investors at the offering price not lower than that offered to existing shareholders.
+ Transfer restriction:
For shares that existing shareholders exercise their rights or shares that investors buy from existing shareholders: free transfer
For fractional shares redistributed by the BOD to other shareholders, investors: free transfer
For remaining shares that hareholders do not exercise the right to buy, not make subscription payment, not buy all distributed by the BOD to other investors: be subject to transfer restriction within 1 year from the date of offering completion.
+ Investors purchasing shares because existing shareholders do not register to buy, nor buy all, nor make payment; and fractional shares comply with provisions of Clause 3, Article 42 of Decree No. 155/2020/ND-CP dated 31st December 2020 detailing the implementation of a number of articles of the Law on Securities.
+ In case the BOD does not distribute all of these shares, they will be canceled and the BOD will decide to end the issuance.
- For example: on the record date, shareholder A who owns 82 shares is entitled to receive 27.33 new shares (82 : 03 x 01 = 27.33).  According to the principle of rounding, this shareholder will be entitled to buy 27 new shares and the 0.33 fractional shares will be distributed to other parties.
Regulations on rights transfer: 
+ Time period for right transfer: from 17th November 2021 to 30th November 2021
+ Right can be transferred once only. Transferee is not allowed to transfer to the 3rd party
Regulations on subscription:
+ Time period for subscription and payment: from 17th November 2021 to 9th December 2021
+ Subscribed shares are freely transferable.
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at TDT Investment and Development Join Stock Company, Thuan Phap hamlet, Diem Thuy Commune, Phu Binh District, Thai Nguyen Province.

Schedule for DMs to process right issue with VSD is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 AM, 12th November 2021
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs and direct account holding members by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
