- Planned quantity of issued shares: 10,000,000 shares
- Issue price: 75,000 VND/share

- Execution rate: 1,000:5,015 (shareholders are entitled to 1 right for each share that they own and to buy 5,015 new shares for 1,000 rights) 
Example: On the record date, shareholder A who owns 55 shares is entitled to buy 275.825 shares ((55/1,000 x 5.015) = 275.825).  After rounding down, shareholder A will be entitled to buy 275 shares.
- Principle of handling fractional shares and redundant shares because shareholders do not exercise their rights (if any): The number of shares each existing shareholder is entitled to buy will be rounded down to the unit. The number of fractional shares (if any), the number of shares that cannot be exercised and the number of shares due to the shareholders not exercising the right or not buying all (if any), will be authorized by the General Meeting to the Board of Directors to decide on the conditions, methods and offering prices for other entities with the conditions not more favorable than that offered to existing shareholders.
- Rights transfer:
+ Right can be transferred once only. Transferee is not allowed to transfer to the 3rd parties
+ In case the rights transfer of major shareholders results in the transferee's ownership ratio that needs public tender offer, the General Meeting shall approve this right transfer and share purchasing without tender offer. The transferees has to disclose information on stock transactions in accordance with relevant regulations.
- Regulations on rights transfer:
+ Time period for right transfer: from 19th October 2021 to 29th October 2021
+ Right can be transferred once only.
- Regulations on subscription:
+ Time period for subscription and payment: from 19th October 2021 to 3rd November 2021
+ Subscribed shares: freely transferable shares
- Place for implementation:
+ The holders whose shares have been deposited have to make transfer of purchase right, subscription and payment at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will make right transfer, subscription and payment at Hanoi School Books and Equipment Joint Stock, no.45B Ly Thuong Kiet, Tran Hung Dao ward, Hoan Kiem district, Hanoi.

Schedule for DMs to process right issue with VSD branch is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 10.30 AM, 14th October 2021
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs and direct account holding members by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
