1. Payment of 2019 stock dividend
- Execution rate: 20:1 (shareholders are entitled to receive 1 new share for every 20 shares they own)
- Principle of rounding and handling fractional shares: The number of shares to existing shareholders will be rounded down to the unit, the fractional shares (if any) will be removed.
For example: on record date, shareholder A owns 577 shares,  he shall be entitled to 28.85 shares (calculated by the formula: (577:20)x1 shares = 28.85 shares). According to the rounding principle, shareholder A will receive 28 new shares and the 0.85 fractional shares will be removed.

- Payment place:
+ The holders whose shares have been deposited will receive dividend at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will receive dividend at SCI E&C Joint Stock Company, level 3, Tower C, Golden Palace building, Me Tri road, Me Tri ward, Nam Tu Liem district, Hanoi. ID cards have to be presented.

2. Rights issue to existing shareholders
+ Right code: MIRSCI201
+ ISIN code: VNMIRSCI2017
(Effective date of code allocation: 8th January 2021; effective date of code cancellation: 9th February 2021)   
+ Planned quantity of issued shares: 12,099,968 shares
+ Issue price: 10,000 VND/share
+ Execution rate: 1:1 (shareholders are entitled to 1 right for each share that they own and to buy 1 new share for each right).

- Principle of rounding, handling fractional shares:
+ The ratio of right issue to buy additional shares is 1:1, so there will be no fractional shares. The number of shares that are not fully subscribed (if any) is authorized to the Board of Directors to decide to sell to other parties (including the Company's shareholders wishing to increase share ownership).
+ In case the company continues to distribute to other parties but still does not distribute all the shares, the Company will request the Issuance underwriting organization to purchase all the undistributed shares at the price of 10,000 VND/share.
Example: On the record date, shareholder A who owns 577 shares is entitled to buy (577 : 1) x 1 = 577 new shares. 

- Regulations on rights transfer:
+ Time period for right transfer: from 8th January 2021 to 29th January 2021.
+ Right can be transferred once only. The transferee is not allowed to transfer to the third party.
- Regulations on subscription:
+ Time period for subscription and payment: from 8th January 2021 to 4th February 2021.
+ Subscribed shares are freely transferable.
- Restrictions on rights transfer:
+ The number of shares sold to existing shareholders and the transferee of the right issue from existing shareholders is not subject to transfer restriction.
+ The redundant shares offered to other parties (including shareholders of the company wishing to increase share ownership) will be subject to transfer restriction within 1 year from the date of offering completion.
+ The number of shares purchased by the Issuance underwriting organisation when underwriting shares will not be subject to transfer restriction.
- Payment place:
+ The holders whose shares have been deposited will receive dividend at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will receive dividend at SCI E&C Joint Stock Company, level 3, Tower C, Golden Palace building, Me Tri road, Me Tri ward, Nam Tu Liem district, Hanoi. ID cards have to be presented.

Schedule for DMs to process right issue with VSD is detailed in the attached file.
Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 11.30 AM, 30th December 2020
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs and direct account holding members by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
