Reason and purpose: 
+ Payment of 2019 stock dividend
+ Rights issue to existing shareholders

1. Payment of 2019 stock dividend
- Payment place:
+ The holders whose shares have been deposited will receive dividend at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will receive dividend at the company: Level 6, Vietnam Journalists Association building, lot E2 Cau Giay urban area, Duong Dinh Nghe street, Yen Hoa ward, Cau Giay district, Hanoi. ID cards have to be presented.

2. Rights issue to existing shareholders
- Principle of rounding, handling fractional shares:
+ The number of subscribed shares will be rounded down to the unit to ensure that the total number of distributed shares does not exceed the total number of issued shares.
+ The number of fractional shares and un-purchased shares will be offered to other parties as decided by the Board of Directors in appropriate conditions at the price not lower than that offered to existing shareholders (10,000 VND/ share).
Example: shareholder A who owns 555 shares is entitled to buy 309.33 shares ((555 x 5)/9 = 308.33). According to the rounding principle, shareholder A will receive 308 new shares and the 0.33 fractional shares will be removed.

- Regulations on rights transfer:
+ Time period for right transfer: from 6th January 2021 to 19th January 2021.
+ Right can be transferred once only. The transferee is not allowed to transfer to the third party.
- Regulations on subscription:
+ Time period for subscription and payment: from 6th January 2021 to 26th January 2021.
+ Subscribed shares are freely transferable.


- Restrictions on rights transfer:
+ Additional shares issued to existing shareholders can be freely transferred.
+ The remaining shares that have not been purchased to existing shareholders when being offered to other parites following upon the decision of the Board of Directors will be restricted to transfer for 1 year from the date of completion of the offering as regulated. This restriction does not apply to the number of underwritten shares or the fractional number of shares arising from rounding from distribution to existing shareholders in accordance with the law.

- Payment place:
+ The holders whose shares have been deposited will receive dividend at the depository member where they opened depository account.
+ The holders whose shares have not been deposited will receive dividend at the company: Level 6, Vietnam Journalists Association building, lot E2 Cau Giay urban area, Duong Dinh Nghe street, Yen Hoa ward, Cau Giay district, Hanoi. ID cards have to be presented.

Schedule for DMs to process right issue with VSD is detailed in the attached file.

Depository members (DMs) are requested to compare the securities holders’ information in the List generated and sent in the form of Certificate of Authorization by VSD with the information managed by DMs then send Confirmation (Form 03/THQ) in the form of Certificate of Authorization on the accuracy of the list of shareholders (For DMs who have not completed the connection to VSD’s terminal-based gateway/ISO-based gateway or where the connection has been disrupted, the Confirmation with Certificate of Authorization shall be sent to thongbaoxacnhan@vsd.vn). In case of rejection due to data errors, VSD's members are requested to send written notice on details of errors for necessary correction.
Deadline for sending confirmation: by 11.30 AM, 31st December 2020
If DMs do not send confirmation document by the above deadline, VSD will consider the list provided to DMs and direct account holding members by VSD accurate and confirmed. In case of arising disputes and losses to shareholders, DMs will have to bear all the related responsibilities.
DMs are requested to fully inform this notice to each investor who has deposited the above shares at DMs within 3 working days from the date on the notice.
